PromptDex Terms of Service

Welcome to PromptDex.

These Terms of Service (“Terms”) govern your use of the PromptDex software, browser extension, website, and related services (collectively, the “Service”).

By purchasing, accessing, installing, or using PromptDex, you agree to these Terms. If you do not agree with these Terms, please do not use the Service.

1. Description of the Service

PromptDex is a software tool designed to help users create, improve, organize, manage, reuse, and run prompts and AI-assisted workflows.

The Service may include features such as prompt optimization, prompt libraries, templates, AI-assisted tools, workflow creation, batch processing, and other features made available from time to time.

Features may vary depending on the PromptDex product version, package, upgrade, or access level purchased.

2. License to Use PromptDex

Subject to these Terms and your valid purchase or authorized access, you are granted a limited, non-exclusive, non-transferable right to use PromptDex for its intended purpose.

Your access is subject to the license and usage rights associated with the product or offer you purchased.

You may not copy, reproduce, redistribute, resell, sublicense, lease, or commercially exploit the PromptDex software itself unless such rights are explicitly provided as part of your purchase or authorized account.

3. Account and Access

You are responsible for maintaining the security of your PromptDex account, license information, API keys, and any other credentials associated with your use of the Service.

You are responsible for all activity conducted through your account.

You agree not to share your personal account credentials with unauthorized individuals or attempt to bypass, modify, or circumvent any access or licensing restrictions.

4. AI Services and API Keys

PromptDex may use a Bring Your Own Key (BYOK) model for supported AI services.

When using your own API key, you are responsible for:

• Keeping your API key confidential;
• Maintaining your account with the applicable AI provider;
• Any usage fees charged by that provider;
• Complying with the provider’s terms and policies;
• Any limits or restrictions imposed by that provider.

PromptDex does not control the availability, pricing, performance, policies, or behavior of third-party AI services.

5. Third-Party Services

PromptDex may interact with or support third-party websites, AI platforms, APIs, browsers, or other external services.

Those services are operated independently from PromptDex.

Your use of third-party services is subject to their own terms, conditions, and privacy policies.

Changes made by third-party providers may affect the availability or compatibility of certain PromptDex features.

6. User Content and Responsibility

You retain responsibility for the prompts, text, files, instructions, and other content you choose to use with PromptDex.

You are responsible for ensuring that your use of the Service and any content you process through it complies with applicable laws and third-party terms.

You must not use PromptDex to create, process, distribute, or facilitate unlawful content or activity.

You are also responsible for reviewing AI-generated results before using or relying on them.

7. AI-Generated Content

PromptDex may assist you in generating or processing content using third-party AI services.

AI-generated content may contain errors, inaccuracies, omissions, or inappropriate information.

You are responsible for independently reviewing and verifying any output before using, publishing, distributing, or relying on it.

PromptDex does not guarantee the accuracy, originality, completeness, or suitability of AI-generated content.

8. Prohibited Uses

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of PromptDex;
• Circumvent licensing, authentication, or access controls;
• Use the Service to interfere with or disrupt the Service or its infrastructure;
• Attempt to gain unauthorized access to another user’s account or data;
• Copy, reproduce, or redistribute the software except where expressly permitted;
• Use the Service for unlawful purposes;
• Abuse third-party AI services through PromptDex;
• Misrepresent your relationship with PromptDex or its developers.

We reserve the right to restrict or terminate access where we reasonably believe the Service is being abused or used in violation of these Terms.

9. Reseller and User Licensing

Certain PromptDex offers may include reseller or user-management capabilities.

Where such capabilities are explicitly included in your purchase, the applicable license structure and limitations shown with that offer apply.

For PromptDex OTO3, authorized users may add unlimited users, with 100 PromptDex installation licenses provided for each added user, subject to the applicable licensing rules.

These user and installation rights do not automatically grant ownership of the PromptDex software, source code, intellectual property, or brand.

Any use of PromptDex for offering access to customers, clients, or other users must remain within the rights and licensing terms provided with your purchase.

10. Intellectual Property

PromptDex, its software, branding, logos, interface designs, documentation, original content, and related materials are protected by applicable intellectual property laws.

Except for the limited rights expressly granted to you under these Terms, no ownership rights are transferred to you.

You may not claim ownership of PromptDex or represent the software, branding, or underlying technology as your own unless explicitly authorized in writing.

11. Purchases and Payments

PromptDex purchases and upgrades are subject to the pricing and purchase terms presented at the time of checkout.

Unless a specific offer states otherwise, PromptDex purchases are one-time purchases and do not require recurring subscription payments.

Where an offer states that all sales are final, the purchase is non-refundable.

12. Software Updates and Changes

We may improve, modify, update, or discontinue features of the Service from time to time.

Third-party changes, including changes to browsers, AI models, APIs, websites, or external platforms, may also affect how certain PromptDex features operate.

We do not guarantee that every feature will remain permanently available or compatible with every third-party service.

13. Availability

We make reasonable efforts to keep PromptDex available and functional, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of maintenance, updates, technical issues, browser changes, third-party service changes, or circumstances beyond our reasonable control.

14. No Guarantee of Results

PromptDex is provided as a tool to assist your work with AI.

We do not guarantee specific financial, business, marketing, productivity, content, or other results from using the Service.

Your results depend on many factors, including how you use the software, your inputs, the AI models you select, third-party services, and other circumstances outside our control.

15. Disclaimer of Warranties

To the extent permitted by applicable law, PromptDex is provided on an “as is” and “as available” basis.

We make no warranties, express or implied, regarding the Service’s availability, accuracy, reliability, compatibility, or fitness for a particular purpose.

16. Limitation of Liability

To the maximum extent permitted by applicable law, PromptDex and its developers, owners, partners, and affiliates will not be liable for indirect, incidental, special, consequential, or similar damages arising from or related to your use of the Service.

This includes, where applicable, losses resulting from third-party AI services, API usage, generated content, service interruptions, compatibility issues, or unauthorized access resulting from your failure to secure your credentials.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is not permitted by applicable law.

17. Suspension or Termination

We may suspend or terminate access to the Service if you materially violate these Terms, abuse the Service, attempt to circumvent licensing restrictions, or engage in unlawful activity.

Upon termination, any rights granted to you under these Terms may end.

Provisions relating to intellectual property, disclaimers, limitations of liability, and other provisions that by their nature should survive termination will remain in effect.

18. Changes to These Terms

We may update these Terms from time to time.

When we make changes, the updated version will be posted on this page together with the revised “Last Updated” date.

Your continued use of PromptDex after the updated Terms are posted constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
